01Who We Are & Acceptance
These Terms of Use (“Terms”) govern access to and use of the mark3t.ai website and the Mark3t Passport service (together, the “Platform”), operated by Zernica Corp dba Mark3t SASU, 66 Avenue des Champs-Élysées, 75008 Paris, France (SIRET 100 359 744 00016) (“Mark3t”, “we”). By accessing the Platform or creating an account, you accept these Terms. If you use the Platform on behalf of a business, you confirm you are authorised to bind it, and “you” includes that business. Our Privacy & Cookie Policy and Legal Notice, accessible in the site footer, form part of the framework governing the Platform.
02Eligibility
The Platform is for adults with full legal capacity. You must be at least 18 years old. Passport verification is available to professional sellers and vendors acting in the course of business; you warrant that the business information you provide (registration numbers, VAT status, representative identity) is accurate and current, and you will keep it so.
03Accounts & Security
One account per person or entity, opened with accurate information. You are responsible for safeguarding your credentials and for activity under your account; never share credentials or use another person’s account. Notify us immediately at Bonjour@mark3t.ai of any suspected unauthorised use. We may require re-verification where security or integrity concerns arise.
04The Mark3t Passport & Trust Scores
- What it is. The Passport is a portable trust credential: it aggregates verification outcomes and professional reputation signals — including data you choose to connect from external marketplaces — into a profile and Trust Score.
- Your side. You connect only sources belonging to you, you do not manipulate, fabricate, or launder reputation signals, and you accept that detected manipulation results in suspension or removal of Passport status (§8).
- Our side. We compute scores in good faith on the data available. A Trust Score is an informational signal, not a guarantee, warranty, or endorsement of any person or transaction, and not financial, legal, or commercial advice. Counterparties remain responsible for their own decisions.
- No automated adverse decisions. Refusal of verification, suspension, or removal of Passport status always involves human review, and you can contest outcomes as described in the Privacy & Cookie Policy.
- Beta. During the invite-only beta, the Platform is provided for evaluation: features may change, be interrupted, or be withdrawn, and beta access does not create an entitlement to any future service tier.
05Third-Party Marketplace Connections
Connecting an external marketplace or data source is at your initiative and subject to that platform’s own terms; you warrant your connection does not breach them. Mark3t is not affiliated with, endorsed by, or responsible for external marketplaces, and their availability or data quality is outside our control. You may disconnect a source at any time, with the effects on your score described in the product.
06Acceptable Use
You agree not to: use the Platform unlawfully or in connection with counterfeit, stolen, or otherwise illicit goods; misrepresent your identity, business, or reputation data; interfere with the Platform’s operation or security, or attempt to access accounts or data not yours; scrape, harvest, or extract data from the Platform, or develop third-party applications interacting with it, without prior written consent; reverse engineer the Platform or its scoring systems except where law permits; post or transmit content that is defamatory, hateful, harassing, or infringing; or use the Platform to build a competing reputation-scoring service. Behaviour likely to deceive, defraud, or cause prejudice to Mark3t or its users may trigger the measures in §8.
07Content & Intellectual Property
Yours. You retain rights in the content and data you submit. You grant Mark3t a non-exclusive, worldwide licence to host, reproduce, and display it as necessary to operate the Platform and display your Passport according to your visibility settings — and you warrant your content infringes no third-party rights.
Ours. The Platform, the Mark3t and Mark3t Passport names and logos, the site design, software, and scoring systems are the property of Mark3t or its licensors. No rights are granted beyond the limited right to use the Platform under these Terms. Third-party trademarks referenced remain their owners’ property.
08Suspension, Termination & Complaints
You may close your account at any time; the data consequences are described in the Privacy & Cookie Policy. We may warn, restrict, suspend, or terminate an account for breach of these Terms, manipulation of reputation signals, fraud, legal compliance, or serious risk to other users — proportionately, and with reasons except where law or an ongoing investigation prevents disclosure. You may contest any such decision within six months at Bonjour@mark3t.ai; contests are reviewed by a person other than the original decision-maker. We may report unlawful activity to competent authorities.
09Availability & Changes
We aim to keep the Platform available continuously but do not guarantee uninterrupted or error-free access; maintenance, security, and force majeure may require suspension without notice. We may modify the Platform for technical or commercial reasons. Where changes materially and negatively affect the service or these Terms, we will give reasonable advance notice; continued use after the effective date constitutes acceptance, and you may close your account instead.
10Liability
Nothing in these Terms excludes liability that cannot be excluded under French law, including for gross negligence, wilful misconduct, or death or personal injury. Subject to that: the Platform and Passport are provided “as is” during the beta; Mark3t is not a party to transactions between users and does not warrant the conduct, solvency, or goods of any user; we are not liable for indirect damages (loss of profits, opportunity, reputation, or data) arising from Platform use; and our aggregate liability for direct damages is capped at the greater of the fees you paid us in the twelve months preceding the event and €[500]. You indemnify Mark3t against third-party claims arising from your content or your breach of these Terms, up to a reasonable amount including legal fees.
11General
These Terms are the entire agreement regarding Platform use and supersede prior versions. If a provision is held invalid, the remainder stands. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a corporate restructuring with notice.
12Governing Law & Disputes
These Terms are governed by French law; the UN Convention on Contracts for the International Sale of Goods does not apply. The parties will first seek amicable resolution — write to Bonjour@mark3t.ai. Failing that, disputes fall to the competent French courts. Nothing deprives a consumer domiciled in the EU of mandatory protections of their country of residence, including the right to bring or defend proceedings there; consumers may also use the EU online dispute resolution platform (ec.europa.eu/odr) or a French consumer mediator [Mediator to be designated if consumer sales occur].
